1) Introduction

This Terms and Conditions document ("Terms") is a binding agreement between Ahmed Fargaly, providing architecture and BIM-related services, and the client identified in an accepted proposal, statement of work, or purchase order ("Client"). By commissioning or continuing to use the services, Client accepts these Terms. If a separate master services agreement is signed, that document prevails to the extent of any conflict. These Terms take effect on the earlier of the effective date stated in the proposal or the date services commence.

Parties: Ahmed Fargaly ("Provider") and the Client entity in the corresponding proposal ("Client").
Services: Architecture and Building Information Modeling (BIM) services and related consulting, coordination, training, standards development, and tooling as described in the applicable proposal or scope of work.
Order of Precedence: 1) Signed master agreement, 2) Signed proposal/SOW including its schedules, 3) These Terms, 4) Any other referenced documents.

2) Definitions

For clarity, the following capitalized terms have the meanings below. Where relevant, definitions align with industry practice and ISO 19650.

"Agreement": These Terms together with any accepted proposal, SOW, schedule, or change order.
"BEP": BIM Execution Plan defining processes, responsibilities, exchanges, and standards for the project.
"CDE": Common Data Environment where project information is stored, shared, reviewed, and approved.
"Client Materials": Information, data, files, models, or other content supplied by Client.
"Deliverables": Work products produced by Provider under the Agreement, which may include models, drawings, schedules, reports, standards, training content, and configuration files.
"ISO 19650": The series of standards for organization and digitization of information about buildings and civil engineering works, including building information modelling.
"LOIN": Level of Information Need specifying the required information for a given purpose.
"Milestone/Gate": A defined decision or acceptance point (e.g., A/B/C gates, IFC issue) used to control quality and progress.
"Proposal/SOW": The document describing scope, assumptions, exclusions, deliverables, fees, and schedule for specific services.
"Third-Party Tools": External platforms or software used to deliver the services, such as Autodesk Revit, Navisworks, ACC, Solibri, Synchro, or other integrations.
